Please read these Terms carefully before placing an order.

1. About Us

Keli Technology supplies automotive remote controls and related automotive access and security products.

Depending on the applicable product listing, quotation, invoice, or written agreement, our products may include:

  • Automotive RF remote controls;
  • Car key fobs;
  • Remote control housings and shells;
  • Remote control circuit boards;
  • Transponder chips;
  • Key blades and uncut key blanks;
  • Buttons, pads, batteries, and related components;
  • Automotive access-control accessories;
  • Replacement remote-control components;
  • Aftermarket automotive remote products;
  • Wholesale products;
  • Customized housings, packaging, frequencies, logos, molds, or product configurations.

The specific contents of each product are determined by the applicable product page, quotation, specification sheet, sample approval, order confirmation, or invoice.

Our contact details are provided in Section 27 of these Terms.

2. Scope of These Terms

These Terms apply to both individual consumers and business customers unless a particular provision states otherwise.

A “Consumer” means an individual purchasing products primarily for personal use rather than for commercial, wholesale, resale, professional, or business purposes.

A “Business Customer” means any company, organization, reseller, distributor, locksmith, repair business, importer, wholesaler, purchasing agent, professional buyer, or individual purchasing products for commercial or professional purposes.

Where a separate written quotation, purchase agreement, distribution agreement, manufacturing agreement, private-label agreement, or other written contract has been signed or expressly accepted by both parties, that separate agreement shall take priority over these Terms to the extent of any direct conflict.

These Terms incorporate our applicable Privacy Policy, Return Policy, shipping information, warranty information, and any order-specific terms shown on the website or provided in writing.

3. Eligibility and Authority

You must be at least 18 years old or have reached the legal age required to enter into a binding contract in your jurisdiction.

By using the website or placing an order, you represent and warrant that:

Such minor differences do not constitute a defect where the product materially conforms to the confirmed specifications and performs the function described in the applicable listing or quotation.

Product images are provided for general identification. The actual product contents are determined by the written product description and confirmed order specifications.

Accessories shown in photographs are not included unless they are expressly listed as included.

6. IMPORTANT AUTOMOTIVE COMPATIBILITY NOTICE

Automotive remote controls are highly vehicle-specific products.

Two remote controls may have an identical or similar appearance but use different frequencies, chips, circuit boards, encryption protocols, button configurations, regional standards, or programming procedures.

Before placing an order, you are responsible for checking all relevant compatibility information, including, where applicable:

  • Vehicle manufacturer;
  • Vehicle model;
  • Vehicle production year;
  • Vehicle market or country of origin;
  • Original remote-control part number;
  • OEM reference number;
  • FCC ID, IC number, CE-related identifier, or other certification identifier;
  • Operating frequency;
  • Modulation type;
  • Transponder chip type;
  • Number and layout of buttons;
  • Circuit-board identification;
  • Key-blade type;
  • Connector type;
  • Immobilizer system;
  • Remote-entry system;
  • Programming procedure;
  • Required diagnostic or programming equipment.

A vehicle’s make, model, and year alone may not be sufficient to establish compatibility.

Vehicle manufacturers may use different remote-control systems for the same model and production year in different countries, factories, trim levels, or production periods.

Where possible, compare the original remote’s part number, frequency, chip type, and circuit-board information before ordering.

If you are uncertain about compatibility, you should provide us with clear photographs and available identification information before placing the order. Any compatibility guidance we provide is based on the information supplied by you and does not replace professional inspection of the vehicle or original remote.

Unless we expressly guarantee compatibility in writing after reviewing complete and accurate information, the final responsibility for confirming compatibility remains with the buyer.

An item is not considered defective merely because it is incompatible with a vehicle where the product matches the ordered specifications.

7. Product Types and Contents

Customers must carefully review whether a product is sold as a complete remote control, remote shell, circuit board, chip, key blade, replacement case, or another component.

7.1 Remote Shells and Housings

A remote shell or housing normally does not include internal electronics, a transponder chip, a programmed circuit board, or a battery unless the product listing expressly states otherwise.

A customer purchasing a shell may need to transfer components from an existing remote.

7.2 Complete Remote Controls

A product described as a complete remote may still require:

  • Key-blade cutting;
  • Vehicle programming;
  • Immobilizer programming;
  • Remote synchronization;
  • Transponder coding;
  • Battery installation or activation.

“Complete” does not mean that the remote is pre-programmed to your vehicle unless expressly stated.

7.3 Key Blades

Key blades may be supplied uncut. Cutting services are not included unless expressly confirmed in writing.

A key blade that has been cut, ground, engraved, modified, or fitted to a specific vehicle may no longer be eligible for return, except where the product is defective or applicable law provides otherwise.

7.4 Batteries

Batteries may or may not be included, depending on the product listing and transportation requirements.

Battery life depends on storage conditions, usage, temperature, transmission frequency, and other factors. An included battery may be intended primarily for testing and may require replacement after delivery.

7.5 Aftermarket and Genuine Products

Unless a product listing expressly identifies a product as genuine original-equipment-manufacturer merchandise, the product should be understood as an aftermarket or compatible replacement product.

References to vehicle manufacturers, trademarks, model names, part numbers, or original products are generally used for compatibility and identification purposes only.

8. Lawful Use and Vehicle Authorization

Automotive remote controls and related components must only be used for lawful purposes.

By purchasing or using our products, you represent that you are:

  • The lawful owner of the applicable vehicle;
  • Authorized by the lawful owner;
  • A legitimate locksmith, repair business, distributor, dealer, fleet operator, or professional service provider;
  • Otherwise legally entitled to possess, program, install, resell, or use the product.

You may not use our products or information to:

  • Gain unauthorized access to a vehicle;
  • Facilitate vehicle theft;
  • Bypass a security system without authorization;
  • Clone or duplicate a vehicle credential unlawfully;
  • Tamper with another person’s vehicle;
  • Defeat an immobilizer or alarm system unlawfully;
  • Commit fraud or any other criminal act;
  • Violate telecommunications, radio-frequency, import, export, or vehicle-security laws.

We may request reasonable information to verify a transaction where there are legitimate security, fraud-prevention, export-control, or legal concerns.

We may reject or cancel an order where we reasonably suspect unlawful use. We may also cooperate with lawful requests from competent authorities where required by applicable law.

9. Orders and Contract Formation

Products displayed on the website are invitations for customers to submit purchase orders. They do not constitute a binding offer by us.

After you submit an order, you may receive an automated acknowledgment. An automated acknowledgment confirms that we received your order but does not necessarily mean that we have accepted it.

An order becomes binding when we:

  • Send a specific order-acceptance confirmation;
  • Issue and accept payment under a final invoice or quotation;

10. Quotations and Purchase Orders

A quotation is valid only for the period stated in that quotation.

Prices, availability, production lead times, exchange rates, freight charges, and component costs may change after a quotation expires.

A customer purchase order does not modify our quotation or these Terms unless we expressly accept the modification in writing.

Terms printed or referenced on a customer’s purchase order do not automatically apply merely because we acknowledge or fulfill that purchase order.

For quotation-based orders, the following documents shall generally apply in this order of priority:

  1. A signed written agreement between the parties;
  2. Our final accepted quotation or pro forma invoice;
  3. Approved specifications, drawings, or samples;
  4. These Terms;
  5. Other website policies.

11. Prices, Taxes, and Payment

Prices are displayed or quoted in the currency identified on the product page, quotation, checkout page, or invoice.

Unless expressly stated otherwise, product prices do not include:

  • Import duties;
  • Customs charges;
  • Value-added tax;
  • Sales tax;
  • Goods and services tax;
  • Brokerage charges;
  • Customs-clearance fees;
  • Remote-area delivery fees;
  • Bank fees;
  • Currency-conversion fees;
  • Programming, cutting, installation, or locksmith charges.

You are responsible for all taxes, duties, and fees imposed by your country or local authority unless the applicable order expressly states that such charges are included.

Payment must be made using an accepted payment method.

By providing payment information, you represent that:

  • You are authorized to use the payment method;
  • The payment information is accurate;
  • Sufficient funds or credit are available;
  • The transaction does not violate applicable law.

Payments may be processed by third-party payment providers. Their separate terms and privacy practices may apply.

Where an obvious pricing, calculation, currency, or system error occurs, we may correct the error before accepting the order. We will inform you and allow you to confirm the corrected order or receive a refund.

12. Wholesale, Customized, OEM, and Private-Label Orders

Additional conditions apply to wholesale, customized, OEM, ODM, private-label, tooling, and mold-development orders.

12.1 Specifications

The customer is responsible for confirming all specifications, including:

  • Frequency;
  • Circuit-board requirements;
  • Chip type;
  • Button layout;
  • Housing material;
  • Color;
  • Surface finish;
  • Logo;
  • Printing;
  • Packaging;
  • Labeling;
  • Dimensions;
  • Performance requirements;
  • Certification requirements;
  • Quantity;
  • Delivery destination.

Production will be based on the final specifications, drawings, samples, or documents approved by the customer.

12.2 Sample Approval

Where a pre-production sample is supplied, the customer must inspect and approve the sample before mass production.

Approval may be provided by email, signed document, payment authorization, messaging platform, or another written method accepted by us.

The approved sample or specification becomes the primary reference for mass production.

Minor differences caused by normal manufacturing processes are not defects where they fall within agreed or commercially reasonable tolerances.

12.3 Customer Changes

Any requested change after approval may result in:

  • Additional charges;
  • New tooling costs;
  • Material replacement costs;
  • Revised minimum-order quantities;
  • Production delays;
  • Revised delivery schedules;
  • Additional sample-approval requirements.

Changes are effective only after we accept them in writing.

12.4 Tooling and Molds

Ownership, storage, maintenance, exclusivity, and permitted use of molds or tooling shall be determined by the applicable quotation or written agreement.

Payment of a mold, development, or tooling fee does not automatically transfer ownership of the physical mold or tooling unless the quotation or written agreement expressly states that ownership is transferred.

12.5 Deposits and Cancellation

Deposits for customized orders may become non-refundable once we begin design work, tooling, material procurement, packaging production, printing, sampling, or manufacturing.

If a customer cancels a customized order after work has begun, the customer remains responsible for work completed, materials purchased, third-party commitments, tooling expenses, and other reasonable costs incurred.

12.6 Customer Logos and Designs

When a customer provides a logo, trademark, design, packaging, photograph, technical document, or other material, the customer represents that it has the right to use and authorize us to reproduce that material.

The customer is responsible for claims arising from materials supplied by the customer, including trademark, copyright, patent, design-right, or unfair-competition claims.

13. Shipping and Delivery

Available shipping methods, estimated delivery times, and shipping charges may be shown during checkout or provided in a quotation.

Delivery dates are estimates unless we expressly guarantee a specific delivery date in writing.

Delivery may be affected by:

  • Customs procedures;
  • Carrier delays;
  • Flight or vessel schedules;
  • Weather;
  • Public holidays;
  • Security inspections;
  • Remote-area delivery conditions;
  • Import restrictions;
  • Incorrect customer information;
  • Component shortages;
  • Government actions;
  • Events beyond our reasonable control.

We may use different carriers, shipping routes, warehouses, or fulfillment partners.

We may split an order into multiple shipments where reasonably necessary. Unless otherwise agreed, the customer will not be charged additional base shipping fees solely because we chose to split the shipment.

Promotional free shipping, where offered, applies only under the stated promotional conditions. It does not necessarily include import duties, taxes, customs-clearance fees, brokerage fees, remote-area surcharges, or return-shipping costs.

14. Delivery Address and Customs

You are responsible for providing a complete and accurate delivery address, telephone number, postal code, recipient name, tax number, and any information required for delivery or customs clearance.

We are not responsible for delays or losses caused by incorrect, incomplete, or outdated information supplied by the customer.

International customers are responsible for:

  • Confirming that products may legally be imported;
  • Obtaining required import permits;
  • Paying applicable duties and taxes;
  • Providing customs-clearance documents;
  • Complying with local radio-frequency and product rules;
  • Responding promptly to customs or carrier requests.

Where a package is refused, unclaimed, abandoned, seized, destroyed, or returned because of the customer’s failure to complete customs clearance, the customer may be responsible for shipping, return shipping, storage, customs, disposal, and related charges.

Any refund in such circumstances may be reduced by the reasonable costs incurred, to the extent permitted by applicable law.

15. Risk of Loss and Title

For Business Customer orders, risk of loss transfers according to the Incoterm or delivery term stated in the applicable quotation or agreement.

Where no delivery term is stated for a Business Customer order, risk of loss generally transfers when the products are handed to the first carrier, to the extent permitted by applicable law.

For Consumer orders, risk transfers at the time required by the applicable consumer-protection law. Where required by law, risk will not transfer until the Consumer or the Consumer’s designated recipient physically receives the products.

Ownership of products does not transfer until we have received full payment, except where applicable law requires otherwise.

16. Inspection Upon Delivery

You should inspect the package and products promptly after delivery.

Before cutting, programming, pairing, installing, opening components, or modifying a remote, you should confirm:

  • The product number;
  • Frequency;
  • Button layout;
  • Circuit-board details;
  • Chip type;
  • Blade type;
  • Physical condition;
  • Ordered quantity;
  • Compatibility information.

If a shipment appears damaged, incomplete, or incorrect, contact us promptly and provide:

  • Order number;
  • Description of the issue;
  • Photographs of the outer packaging;
  • Photographs of the shipping label;
  • Photographs or video of the product;
  • Quantity affected;
  • Any other reasonably requested evidence.

Do not discard the packaging, shipping label, or affected product until the claim has been reviewed.

17. Returns, Exchanges, and Cancellations

Our Return Policy forms part of these Terms.

Unless a different period is stated in the applicable product page, quotation, or mandatory law, a return request should generally be submitted within 30 calendar days after the carrier records the order as delivered.

A return must be authorized before the product is sent back.

Returned products should generally be:

  • Unused;
  • Unprogrammed;
  • Uncut;
  • Unmodified;
  • Complete;
  • In resalable condition;
  • Returned with original accessories and packaging;
  • Accompanied by proof of purchase.

Subject to applicable law, the following products may not be eligible for change-of-mind returns:

  • Customized products;
  • Private-label products;
  • Products manufactured to customer specifications;
  • Programmed or paired remote controls;
  • Cut or modified key blades;
  • Products damaged during installation;
  • Products damaged by incorrect voltage, reverse polarity, water, impact, misuse, or modification;
  • Products missing components;
  • Products returned without authorization;
  • Clearance products expressly identified as final sale.

These exclusions do not limit your rights where a product is defective, materially different from the confirmed order, or otherwise protected by mandatory law.

Where a return results from the customer ordering an incorrect but accurately supplied product, the customer may be responsible for return shipping and related costs.

Where we supplied an incorrect or verified defective product, we will provide an appropriate remedy under the applicable Return Policy and law.

Refunds are normally made to the original payment method. Processing times may vary depending on banks and payment providers.

Original shipping fees, import duties, taxes, programming fees, locksmith fees, diagnostic fees, installation fees, and third-party service charges are not refundable unless expressly agreed or required by law.

Standard orders may be cancelled before dispatch where operationally possible. Customized orders may not be cancellable after design, tooling, procurement, printing, sampling, or production has begun.

18. Product Warranty

Any specific warranty period will be stated on the applicable product page, quotation, invoice, warranty document, or written agreement.

Where no additional commercial warranty is stated, we provide only the warranties and remedies required by applicable law and the remedies expressly provided in our Return Policy.

A valid warranty claim may require the customer to provide:

  • Proof of purchase;

  • Photographs or video;
  • Test results;
  • Details of the vehicle;
  • Original remote information;
  • Programming information;
  • A description of installation and use.

Warranty coverage does not generally include damage or failure caused by:

  • Reverse polarity;
  • Water or liquid exposure;

Where a valid manufacturing defect is confirmed, the available remedy may include repair, replacement, credit, or refund, depending on the circumstances and applicable law.

19. Programming, Cutting, and Installation

Many automotive remote products require professional programming, coding, key cutting, synchronization, or installation.

Programming procedures can vary by vehicle, production year, country, software version, diagnostic system, and immobilizer configuration.

Any programming information provided by us is general information and does not guarantee that a particular procedure will work for every vehicle.

Unless expressly included in the order, we do not provide on-site programming, key cutting, vehicle diagnostics, towing, installation, locksmith services, or dealership services.

You should use a qualified automotive locksmith, technician, dealer, or other competent professional where appropriate.

Before modifying a product, you should inspect it and confirm that it matches the original remote and ordered specifications.

You should retain an existing working key or remote until the replacement product has been successfully tested.

Except where required by applicable law or expressly agreed in writing, we are not responsible for:

  • Locksmith fees;
  • Dealer fees;
  • Programming fees;
  • Diagnostic charges;
  • Key-cutting charges;
  • Installation charges;
  • Vehicle recovery or towing;
  • Lost vehicle use;
  • Missed appointments;
  • Travel costs;
  • Costs of replacing unrelated vehicle components.

20. Radio-Frequency and Regulatory Compliance

Automotive remote controls may operate on different radio frequencies and may be subject to local telecommunications or radio-equipment regulations.

A frequency permitted in one country may be restricted or unsuitable in another country.

The customer is responsible for confirming local requirements relating to:

  • Radio-frequency use;
  • Product certification;
  • Importation;
  • Labeling;
  • Resale;
  • Installation;
  • Commercial distribution.

Any regulatory identifier shown in a product description is provided for product identification and does not automatically mean that every supplied aftermarket component holds an independent certification.

Business Customers importing or reselling products are responsible for obtaining any certification, testing, registration, marking, documentation, or approval required in the destination market unless we expressly agree otherwise in writing.

21. Intellectual Property

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

27. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Keli Technology and its directors, employees, affiliates, suppliers, agents, and service providers shall not be liable for indirect, incidental, special, punitive, or consequential losses arising from the website, an order, or a product.

This includes, where legally permitted:

  • Loss of profit;
  • Loss of revenue;
  • Loss of business;
  • Loss of contracts;

  • Loss of vehicle use;
  • Towing charges;
  • Travel expenses;
  • Locksmith charges;
  • Dealer charges;
  • Programming charges;
  • Installation charges;
  • Missed appointments;
  • Replacement of unrelated vehicle components.

To the maximum extent permitted by law, our aggregate liability arising from a particular product shall not exceed the amount actually paid to us for that affected product.

These limitations do not apply where liability cannot legally be limited, including liability for fraud, intentional misconduct, death or personal injury caused by negligence where applicable, or mandatory consumer rights.

28. Indemnification

To the extent permitted by law, Business Customers agree to defend, indemnify, and hold harmless Keli Technology and its directors, employees, affiliates, suppliers, and agents from claims, losses, liabilities, costs, and reasonable legal expenses arising from:

  • Unauthorized access to a vehicle;
  • Infringing logos or designs supplied by the customer;
  • Failure to comply with import or resale regulations;
  • Misleading resale representations;
  • Unauthorized modification;
  • Incorrect installation or programming;
  • Violation of these Terms;
  • Violation of applicable law.

This section does not require a customer to indemnify us for losses caused solely by our own fraud, intentional misconduct, or liability that cannot legally be excluded.

29. Force Majeure

We are not liable for delay or failure caused by events beyond our reasonable control.

They replace prior discussions or representations concerning the same subject, except in cases of fraud or where applicable law provides otherwise.

40. Language

These Terms are prepared in English for international website use.

Translations may be provided for convenience. To the extent permitted by applicable law, the English version shall prevail where there is an inconsistency, unless an order-specific written agreement expressly identifies another language as controlling.
